Description
Prepare filings for public company reporting and/or mergers & acquisitions (M&A) and capital market transactions on proper SEC forms
Manage SEC Section 16 filing requirements, to include drafting and filing Forms 3 and 4 for officers and directors utilizing appropriate web-based platform
Organize documentation related to quarterly and annual Board of Directors meetings
Prepare and deliver notices, proxy statements and proxy cards for annual stockholders meetings
Manage corporate governance policies to include Regulation FD and insider trading associated with public entities
Manage corporate organizational and governance documents for company and subsidiaries, comprising of formation documents, bylaws, operating agreements, board resolutions, shareholder and member consents, and corporate minutes
Complete entity registrations, annual reports and assumed name filings in appropriate domestic, international, state and local jurisdictions
Administer organizational tracking charts
Review and respond to regulatory requests for information and due diligence requests due to financings, M&A transactions and internal and external audits
Draft, review and revise documents for commercial contracts, corporate financing and securities offering transactions and transactional litigation support
Prepare documents related to equity incentive compensation program to include stock option and restricted stock grants
Develop, apply and manage corporate FCPA compliance program
Function as liaison between legal governance and corporate departments, distribution centers, stores and vendors
Monitor documents and maintain status and tracking in utilized databases
Assist in-house and outside counsel in legal proceedings of assigned area
Research and draft responses to legal questions as appropriate
Analyze data and prepare required summaries
Review and process invoices and check requests for timely payment in accordance with Legal Dept. guidelines
Develop and mentor junior associates
Lead, participates and plan meetings and training sessions for assigned area
Required to learn company policies, procedures, and safety rules

Qualifications
High School Diploma or equivalent required
Bachelor's degree in relevant field of study preferred
Paralegal certificate required
8
years' experience as a corporate paralegal, ideally with experience at both a major law firm and in-house at a public company
5
years' legal support experience with public company reporting, securities and corporate governance
Corporate domestic law experience required
Corporate international law experience preferred
Experience with equity incentive plans and compensation
Knowledge of Foreign Corrupt Practices Act (FCPA) compliance
Experience supporting and interacting with board and executive level professionals
Strong technical aptitude required; exposure to applications, including Applicant Tracking Systems (ATS - Taleo), HRIS (Infinium), Case Management systems (Serengeti), Document Management Software (Image Now, iManage), and/or AS400
Proficient use of Microsoft Office programs, including Word and Excel
Ability to remain organized, pay strict attention to detail, and meet critical deadlines within a high volume, fast-paced environment
Excellent time management skills, ability to support multiple legal professionals, and effectively manage a large volume of work
Self-motivated, with the ability to meet and exceed position requirements under minimal direction and supervision
Ability to operate professionally, effectively and ethically as an individual contributor and member of a team

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
